Investments in Goldman Sachs Investment Notes are unsecured loans to Goldman Sachs Australia Capital Markets Limited. Investments in Goldman Sachs Investment Notes should not be confused with bank deposits. Apart from the guarantee of the payment obligations of the Company given by Goldman Sachs Holdings ANZ Pty Ltd ('GS ANZ') (the 'GS ANZ Guarantee'), and subject to the GS ANZ Guarantee not being revoked, Goldman Sachs Investment Notes are not insured or guaranteed by any member of the Goldman Sachs Group (as defined in the Offer Document) or any of their affiliates or any other person. No acquirer of Goldman Sachs Investment Notes will have any recourse against any member of the Goldman Sachs Group or any other person other than the Company or GS ANZ. If a claim is brought against GS ANZ under the GS ANZ Guarantee, GS ANZ may make a claim against The Goldman Sachs Group, Inc. under an indemnity granted to GS ANZ by The Goldman Sachs Group, Inc, subject to the indemnity not being revoked. As such the return of principal and interest to investors depends on the ongoing financial capacity of the Company to pay the amounts owed by it in respect of Goldman Sachs Investment Notes and the ongoing financial capacity of GS ANZ and The Goldman Sachs Group, Inc. to meet their obligations under the arrangements described above.
